• President Carolyn Freeman called the meeting to order at 7:06 pm. The President introduced Officers: Jon Clark, Vice President; Amy Whetzel, Treasurer; and Diane Ditzler, Secretary.  Jacques Romain, At-Large Board member, arrived later.
  • President Freeman shared remarks, including the AACA Vision and Norms with the members and several items for discussion for this meeting including information on the upcoming by-laws vote and the need for more at-large voting members.
  • President Freeman asked to certify a quorum of dues-paying members were present.  It was determined that 11.25  paying members/residents would be needed in attendance for the votes before the membership, and with only 10 members present, a quorum was not established.
  • Treasurer’s Report was provided by the Treasurer.
  • Committee Reports
  • Events Committee – list was shared by the Treasurer, with special mention of the Yard Sale on May 31. The list for volunteer sign up was made available.
  • Membership Committee – no report as there is not a chair at present.
  • Land Use – Jon Clark shared information on an upcoming meeting on May 22 regarding code compliance. Issues regarding large gatherings at residences in AACA were discussed. Amy Whetzel shared contacts and actions she has taken regarding the road repair situation.
  • By-Laws Vote
  • Quorum was .25 persons short and while awaiting arrival of another member, Jacques Romain shared reasons behind the revision:
  • Need for better comprehension – simple and concise so all understand
  • By laws not ratified since 1962 – need to be ratified by current community
  • By laws provide ability for governance of association but aren’t written in stone – they can be changed at any time as community deems warranted
  • Hard copy sent to all households. Comments received from several members and incorporated as appropriate; final draft placed on website
  • Amendment w/minor language changes: Quorum would be established with an increase the % of dues paying in attendance and voting members would be limited to 2 dues-paying members per household
  • The final paying member needed for a quorum arrived; vote on new by laws was taken w following results: 10 AYES, 1 NAY, 1 ABSTAIN: New by-laws passed
